The Students’ Union Council and Trustees of Sunderland Students' Union (Company Registration 07702161, Charity Registration 1148212) give notice to all members of an Extra General Meeting to be held:

2PM on 20 March 2018

The Business shall be

1. Counting of quorum;
2. apologies for absence;
3. declaration of interest;
4. minutes of previous general meeting held on 13^th December 2017
5. Matters arising from the minutes;
6. To approve a Special Resolution to adopt a new Memorandum and Articles for the Students’ Union 
7. any other business;

All students registered at the University of Sunderland who have not opted out under the 1994 Education Act may attend as Ordinary members. For the avoidance of doubt, Ordinary Members cannot nominate a proxy vote. 

The Trustees of the Students’ Union may attend as Full Members or may nominate another person as their proxy by emailing ussu@sunderland.ac.uk no later than 12PM on 20 March 2018.

1. SPECIAL RESOLUTION

This Union notes

2. That since July 2017 the Union has been reviewing its governing documents, democratic models and officer roles.
3. That the Union needs to change to better suit the students at the University of Sunderland and create more dynamic ways for them to engage with setting policy so it can better represent students.
4. That it has consulted with students, Union Council members, officers and trustees through face to face meetings, open seminars, online surveys and emails.
5. That the “Let’s be clear” website has documented this consultation and the different versions of the governing documents.
6. That the “Let’s be clear” website contains information about each stage of the changes to these documents.
7. That the Trustee Board approved these Memorandum and Articles at its meeting on 13^th December 2017.
8. That the students’ Union Council approved these Memorandum and Articles at its meeting on 17^th January 2018.
9. That this extra General Meeting must approve the proposal with a special resolution (75% of normal members present and 75% of full members present).
10. That during a transitional period there will be some conflict between the old bye-laws and the new and that interpretation of the governing documents is property of the Trustee Board should any issues arise.
11. That after being passed by the General Meeting, the Memorandum and Articles will still need approval by the University Board of Governors, the Charity Commission and Companies House.

IT IS RESOLVED that, subject to the consent of the Charity Commission and of The University of Sunderland, the articles of association attached to this resolution be adopted as the articles of association of the Company in substitution for, and to the exclusion of, the existing articles of association and that the Trustees are hereby authorised to make such amendments to these proposed articles of association as the Charity Commission and/or The University of Sunderland may require prior to granting their consent.
