Sunderland SU has cancelled the Extaordinary General Meeting (EGM) that is due to be held on 8 Feb 2018 at 12noon.

The EGM will be rescheduled ASAP.

Notice of the the new date will be sent to all students via email and on the Sunderland SU social media channels and website.

We have received advice from our solicitors that the best thing to do is to move the EGM.

The reason for doing this is that the wording of the resolution needs to be changed to make it clear that the EGM approval of the changes to the Articles is conditional on receiving consent from the Charity Commission and the University. 

The wording also needs to delegate authority to the Trustees to agree further changes to the Articles if requested by the Charity Commission or University. The Charities Act 2011 states that regulated alterations are ineffective if prior consent has not been obtained from the Charity Commission.

We have applied to the Charity Commission for this consent, but we haven’t heard back from them yet.

Changing the resolution means the Union will have complied with this legal requirement, in case consent from the Charity Commission is not received in time for the general meeting.

To change the wording on a special resolution, we need to call the EGM again, and leave at least 21 clear days between calling the EGM and the meeting happening.
